DHi Wins New MATOC Contract

Arlington, VA (September 24, 2007)—Defense Holdings, Inc. (DHi) announced today that it has been awarded a new Support Services Multiple-Award Task Order Contract (MATOC) by the Office of Naval Research (ONR). MATOC awards are indefinite delivery, indefinite quantity contracts that allow previously awarded contract holders to bid on individual task orders to provide ONR, its field activities, and the Naval Research Laboratory with professional support services.  These include individual technical, engineering, business, management, administrative, and IT tasks for authorized ONR ordering offices in support of Navy and Marine Corps Science and Technology.

Since its founding in the spring of 1994, DHi established itself as a leader in the engineering, research and development, information technology, and program management fields with its emphasis on strong technical and programmatic leadership capabilities.  From the beginning, DHi’s leadership focused the company’s staffing and organizational structure to support the significant challenges assumed by and assigned to the Federal sector.  The company’s contract history reflects continuous, highly successful support to its Federal customers.

Late in 2005, in a complex, three-way transaction, the entity formerly known as Noesis, Inc. acquired a small business known as Defense Holdings, Inc. (DHi) while selling its own Noesis Federal Services Support (FSS) unit and related assets to ITS Corporation of Oxnard, California, which incorporated these assets as its Noesis Business Unit.  As a result, beginning in 2006, Noesis' remaining federal and commercial ventures continued operation under the DHi banner.  ITS was acquired by Qinetiq in the spring of 2007.

Due to certain agreements relating to the transaction with ITS, DHi has not sought task orders under MATOC since the transaction closed. These agreements will expire after November 1, 2007 allowing DHi to compete for MATOC business in Technical, Programmatic, and Engineering Services (CLIN 0001) and Business and Financial Support Services (CLIN 0002)—areas of traditional strength for the company.
